Terms of Service for Build in Africa

Welcome to Build in Africa! These Terms of Service ("Terms") govern your access to and use of the Build in Africa platform, including any content, functionality, and services offered on or through buildin.africa (the "Platform").

1. Acceptance of Terms

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform. We may update these Terms from time to time, and your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

2. Description of Service

Build in Africa is a launch platform designed to empower and showcase innovation across the African continent. We provide tools and resources to help entrepreneurs, startups, and creators launch, manage, and grow their projects. Our services may include, but are not limited to, project hosting, community features, resource directories, and promotional tools.

3. User Accounts

To access certain features of the Platform, you may be required to register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and identification.
  • Promptly update your account information if it changes.
  • Be responsible for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

4. User Responsibilities

You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials (collectively, "Content") that you submit, post, or display on or via the Platform. You agree not to:

  • Use the Platform for any illegal or unauthorized purpose.
  • Post or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Interfere with or disrupt the Platform or servers or networks connected to the Platform.
  • Attempt to impersonate another user or entity.
  • Use any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Platform in a manner that sends more request messages to the Build in Africa servers than a human can reasonably produce in the same period by using a conventional web browser.

5. Intellectual Property

All content on the Build in Africa Platform, including text, graphics, logos, images, and software, is the property of Build in Africa or its content suppliers and is protected by international copyright laws. You retain ownership of any intellectual property rights that you hold in the Content you submit to the Platform. By submitting Content, you grant Build in Africa a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Platform and Build in Africa's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Copying, distributing, or disclosing any part of the Platform in any medium, including without limitation by any automated or non-automated "scraping."
  • Using any automated system to send more request messages to the Platform than a human can reasonably produce in the same period.
  • Transmitting spam, chain letters, or other unsolicited email.
  • Attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Platform.
  • Taking any action that imposes, or may impose at our sole discretion, an unreasonable or disproportionately large load on our infrastructure.
  • Uploading invalid data, viruses, worms, or other software agents through the Platform.
  • Collecting or harvesting any personally identifiable information, including account names, from the Platform.
  • Using the Platform for any commercial solicitation purposes.
  • Bypassing the measures we may use to prevent or restrict access to the Platform.

7. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BUILD IN AFRICA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PLATFORM, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUILD IN AFRICA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Build in Africa and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

10. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ghana.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.
